1. Acceptance of Terms
By creating an account or using the Pagentix platform ("Service"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, do not use the Service.
These Terms apply to all users, including free and paid subscribers. Paid subscribers are additionally subject to the Service Agreement in Section 6.
2. Description of Service
Pagentix is an AI-powered platform that helps freelancers, contractors, and agencies create proposals, quotes, invoices, and other business documents. The Service is provided via web application and mobile app.
3. Account Registration
You must provide a valid email address and a secure password to create an account. You are responsible for:

Maintaining the confidentiality of your account credentials

All activity that occurs under your account
•
Notifying us immediately of any unauthorised use at info@pagentix.app
You must be at least 18 years old to use the Service. By registering, you confirm that you meet this requirement.
4. Acceptable Use
You agree not to:

Use the Service for any unlawful purpose or in violation of any applicable laws
•
Attempt to gain unauthorised access to any part of the Service or its infrastructure
•
Use the Service to generate fraudulent, misleading, or deceptive documents
•
Reverse engineer, decompile, or otherwise attempt to extract the source code of the Service
•
Resell or sublicense access to the Service without prior written consent from Pagentix
•
Upload or transmit malicious code, viruses, or any content that could harm the Service or other users
5. Intellectual Property
All software, design, trademarks, and content comprising the Pagentix platform are owned by or licensed to Pagentix and are protected by applicable intellectual property laws.
You retain ownership of any business content and documents you create using the Service. By using the Service, you grant Pagentix a limited, non-exclusive licence to process and store your content solely to operate and improve the Service.
6. Service Agreement for Paid Subscribers
6.1 Scope
This Section 6 constitutes a Service Agreement between Pagentix and any user on a paid subscription plan ("Subscriber"). It supplements and does not replace the other provisions of these Terms.
6.2 Service Commitment
Pagentix will use commercially reasonable efforts to make the Service available on a continuous basis. We target a monthly uptime of 99.5%, excluding scheduled maintenance windows communicated in advance.
6.3 Billing and Cancellation
Subscriptions are billed in advance on a monthly or annual basis depending on the plan selected. Subscriptions automatically renew unless cancelled before the next billing date. You may cancel your subscription at any time from your account settings; cancellation takes effect at the end of the current billing period with no partial refunds.
6.4 Limitation of Liability
To the maximum extent permitted by applicable law, Pagentix's total aggregate liability to a Subscriber for any claims arising out of or relating to these Terms or the Service — whether in contract, tort (including negligence), breach of statutory duty, or otherwise — shall not exceed the total fees paid by that Subscriber in the twelve (12) months immediately preceding the event giving rise to the claim.
In no event shall Pagentix be liable for any:

Loss of profits, revenue, or anticipated savings
•
Loss of business, contracts, or opportunities
•
Loss or corruption of data
•
Indirect, incidental, special, consequential, or punitive damages
even if Pagentix has been advised of the possibility of such damages. Some jurisdictions do not allow the exclusion or limitation of incidental or consequential damages, so the above limitations may not apply to you.
6.5 Force Majeure
Pagentix shall not be liable for any failure or delay in performance of the Service caused by circumstances beyond our reasonable control, including but not limited to natural disasters, acts of government, power or internet outages, or failures of third-party infrastructure providers.
7. AI-Generated Content Disclaimer
The Service uses artificial intelligence to generate document content based on your inputs. You acknowledge that:

AI-generated content may contain inaccuracies, omissions, or errors
•
You are solely responsible for reviewing, editing, and approving all documents before sending them to clients
•
Pagentix makes no warranty that AI-generated content is accurate, complete, legally compliant, or fit for any particular purpose
•
Documents generated by the Service are not a substitute for professional legal, financial, or business advice
•
You assume all risk associated with the use of AI-generated content, including any consequences arising from errors, omissions, or reliance on such content in your business dealings
8. Disclaimer of Warranties
The Service is provided "as is" and "as available" without warranty of any kind, either express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, and non-infringement.
Pagentix does not warrant that the Service will be uninterrupted, error-free, or free of viruses or other harmful components.
9. Indemnification
You agree to indemnify, defend, and hold harmless Pagentix and its officers, directors, employees, and agents from and against any claims, damages, losses, liabilities, costs, and expenses (including reasonable legal fees) arising from your use of the Service, your violation of these Terms, or your infringement of any third-party rights.
10. Termination
You may terminate your account at any time by contacting us at info@pagentix.app. We may suspend or terminate your access to the Service at any time, with or without notice, if we reasonably believe you have violated these Terms.
Upon termination, your right to use the Service ceases immediately. Sections that by their nature should survive termination (including Sections 5, 6.4, 7, 8, 9, 11, 12, 13, 14, and 15) will remain in effect.
11. Governing Law
These Terms are governed by and construed in accordance with the laws of the State of North Carolina, United States, without regard to its conflict of law provisions. To the extent that any lawsuit or court proceeding is permitted hereunder, you agree to submit to the personal and exclusive jurisdiction of the state and federal courts located in the State of North Carolina.
12. Dispute Resolution and Binding Arbitration
PLEASE READ THIS SECTION CAREFULLY — IT AFFECTS YOUR LEGAL RIGHTS, INCLUDING YOUR RIGHT TO FILE A LAWSUIT IN COURT.
12.1 Informal Resolution
Before initiating arbitration, you agree to first contact us at info@pagentix.app and attempt to resolve the dispute informally for at least thirty (30) days. If the dispute is not resolved within that period, either party may proceed to arbitration.
12.2 Binding Arbitration
Any dispute, claim, or controversy arising out of or relating to these Terms or the Service, including the determination of the scope or applicability of this agreement to arbitrate, shall be resolved by binding arbitration before a single independent arbitrator mutually agreed upon by both parties. If the parties cannot agree on an arbitrator within fourteen (14) days, either party may petition a court of competent jurisdiction in North Carolina to appoint one.
The arbitration shall be conducted remotely, via written submissions or video conference, unless both parties agree otherwise. The arbitrator shall apply North Carolina law consistent with the Federal Arbitration Act (9 U.S.C. sections 1-16). The arbitrator's decision shall be final and binding, and judgment on the award may be entered in any court of competent jurisdiction.
12.3 Costs
Each party shall bear its own costs and expenses, including attorney fees, associated with the arbitration. The parties shall equally share any fees charged by the arbitrator.
12.4 Exceptions
Notwithstanding the foregoing, either party may bring an individual action in small claims court for disputes within that court's jurisdictional limits. Additionally, either party may seek injunctive or other equitable relief in any court of competent jurisdiction to prevent the actual or threatened infringement or misappropriation of intellectual property rights.
13. Class Action and Jury Trial Waiver
TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, YOU AND PAGENTIX EACH WAIVE THE RIGHT TO A JURY TRIAL. YOU AND PAGENTIX EACH WAIVE THE RIGHT TO PARTICIPATE IN A CLASS ACTION, COLLECTIVE ACTION, PRIVATE ATTORNEY GENERAL ACTION, OR ANY OTHER REPRESENTATIVE PROCEEDING. Unless both you and Pagentix agree otherwise in writing, the arbitrator may not consolidate more than one person's claims and may not otherwise preside over any form of a representative or class proceeding.
If this class action waiver is found to be unenforceable, then the entirety of the arbitration provision in Section 12 shall be null and void, but the remainder of these Terms shall remain in full force and effect.
14. Limitation on Claims
To the fullest extent permitted by law, any claim or cause of action arising out of or related to your use of the Service or these Terms must be filed within one (1) year after such claim or cause of action arose. Failure to file within this period constitutes a permanent waiver of such claim.
15. Third-Party Services
The Service relies on third-party providers, including but not limited to artificial intelligence providers, cloud hosting providers, and payment processors. Pagentix is not responsible or liable for the acts, omissions, outages, errors, or failures of any third-party service provider. Your use of the Service constitutes your acknowledgment that such third-party dependencies exist and that Pagentix shall have no liability arising from or related to third-party service interruptions or failures.
16. Changes to These Terms
We may update these Terms from time to time. We will notify you of material changes by updating the effective date at the top of this page and, where appropriate, by email. Continued use of the Service after changes take effect constitutes acceptance of the updated Terms.
